Description of the service

BMGR is a modular, multi-organisation business management service in which finance, risk management, customers, contracts, learning and reporting use the same company data. The Customer chooses which modules to enable. Some modules are available only in Finland or the EU/EEA. The service is in beta.

Eligibility and accounts

The service is intended for organisations. The person who activates the service confirms that they are authorised to accept these Terms on the organisation's behalf. The Customer is responsible for ensuring that its users keep their credentials confidential, use multi-factor authentication where required and that access is removed from people who no longer need it. The Customer is responsible for its users' actions in the service.

Fees and payment

Modules are free during the beta. Beta signups get 50% off all modules for six months after the beta. Prices are set per module and billing is monthly or annual. Prices are stated excluding VAT. A paid subscription can start with a 14 day trial. Larger organisations can agree invoice billing in a separate contract; the subscription then activates and billing starts only after an authorised signatory of the organisation has accepted that contract. Invoices are due within 14 days. Late payments bear interest under the Finnish Interest Act. Price changes are notified at least 30 days in advance.

Term and termination

The agreement is in force until further notice. The Customer may terminate it to end at the end of the current billing period. Oivanto may terminate it with 30 days' notice. Oivanto may suspend the service or end the agreement with immediate effect if the Customer materially breaches these Terms or leaves an overdue payment unpaid for more than 30 days. After the agreement ends, the Customer can export its data from the service for 30 days, after which the data is deleted in accordance with the Data Processing Agreement. A user can request deletion of their user account at bmgr.fi/account-deletion.

Acceptable use

The service may be used only for lawful purposes. In particular, it is prohibited to bypass or test the security of the service without permission, to store or distribute malware or unlawful content, to send spam, to place an unreasonable load on the service, and to sell or hand over access to third parties.

Intellectual property

The service, its software and documentation and all intellectual property rights in them belong to Oivanto. The Customer receives a limited, non-exclusive right to use the service for the term of the agreement. The data the Customer stores in the service belongs to the Customer, and Oivanto uses it only to provide the service in accordance with these Terms and the Data Processing Agreement.

Warranties and disclaimers

The service is in beta and is provided as is. Oivanto aims to keep the service continuously available but does not guarantee any particular availability or that it is free of errors. Planned maintenance breaks are announced in advance where possible. The Customer is responsible for checking calculations, filings and documents produced by the service before using them or submitting them to authorities.

Limitation of liability

Oivanto is not liable for indirect damage, such as loss of profit, business interruption or indirect damage resulting from loss of data. Oivanto's total liability is limited to the fees the Customer has paid for the service during the 12 months preceding the damage. This limitation does not apply to damage caused intentionally or by gross negligence.

Indemnification

The Customer is responsible for having the right to store and process the data it brings into the service, and compensates Oivanto for damage resulting from third-party claims arising from the data the Customer stores or from use contrary to these Terms.

Confidentiality

Processing of personal data is governed by the Data Processing Agreement between Oivanto and the Customer (bmgr.fi/legal/dpa). The parties keep each other's trade secrets and other confidential information confidential and use them only to perform this agreement. The confidentiality obligation continues for five years after the agreement ends.

Changes to these Terms

Oivanto may change these Terms. Material changes are notified to the Customer's administrators by email and in the service at least 30 days before they take effect. If the Customer does not accept a change, it may terminate the agreement to end before the change takes effect.
